1. Introduction

1.1 These Terms and Conditions ("Terms") govern your access to and use of the Elsewhere service, operated by Shreeyaa Khatri, trading as Elsewhere, London, United Kingdom ("Elsewhere", "we", "us", "our"), including the website at joinelsewhere.co and all associated features and services (collectively, the "Service").

1.2 By registering for an account, completing the onboarding questionnaire, or making a payment through the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

1.3 These Terms should be read together with our Privacy Policy and Community Guidelines, which are incorporated by reference.

1.4 We reserve the right to amend these Terms at any time. Material changes will be communicated to you by email and will take effect 14 days after notification. Your continued use of the Service after that date constitutes acceptance of the amended Terms.


2. Description of the Service

2.1 Elsewhere is an introduction service. We match registered users into small groups, each comprising individuals from different countries, and facilitate a single scheduled video call between the members of each group ("Group Call").

2.2 Our role is limited to: (a) matching you into a group based on your questionnaire responses; (b) scheduling a Group Call at a time compatible with the time zones of all group members; and (c) facilitating the initial introduction between group members.

2.3 We do not operate, host, or record Group Calls. Group Calls take place via third-party video conferencing platforms.

2.4 Following the Group Call, any ongoing relationship between group members is entirely at their discretion. We make no representation or warranty regarding the outcome of any Group Call or any subsequent interaction between members.

2.5 Elsewhere is not a dating service, social network, or matchmaking agency. The Service is provided for the purpose of facilitating cross-cultural friendship and connection.


3. Eligibility

3.1 To use the Service, you must:

(a) be at least 18 years of age;
(b) be a natural person (corporate or automated registrations are not permitted);
(c) have the legal capacity to enter into a binding contract;
(d) be comfortable communicating in the English language; and
(e) have access to a functioning camera, microphone, and internet connection adequate for video conferencing.

3.2 By registering, you represent and warrant that you meet all eligibility requirements set out in clause 3.1. We reserve the right to suspend or terminate any account where we have reason to believe these requirements are not met.


4. Account Registration

4.1 To access the Service, you must register for an account by providing your name, email address, and completing the onboarding questionnaire.

4.2 You are responsible for ensuring that all information provided at registration is accurate, complete, and current. You must update your information promptly if it changes.

4.3 You must not register more than one account, share your account with any third party, or create an account on behalf of another person.

4.4 You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.


5. Questionnaire and Matching

5.1 Group matching is based on your responses to the Elsewhere onboarding questionnaire. You are responsible for the accuracy of your responses.

5.2 We use questionnaire responses to match you with compatible group members and to ensure that each group comprises individuals from different countries. We do not guarantee compatibility or any particular group composition beyond this geographic requirement.

5.3 We reserve the right to use your questionnaire responses in anonymised or aggregated form to improve our matching methodology.

5.4 We do not guarantee that a suitable group can be formed within any particular timeframe. In the event that we are unable to place you in a group within a reasonable period, we will notify you and arrange a refund in accordance with clause 6.4.


6. Payment Terms

6.1 Use of the Service requires payment of a one-time fee of £5.00 (five pounds sterling) per group placement ("Service Fee"), payable at the point of account registration.

6.2 The Service Fee is intended to serve as a commitment device to ensure that registered users attend their scheduled Group Call. By paying the Service Fee, you acknowledge and agree to this purpose.

6.3 All payments are processed by Stripe Payments Europe, Ltd. By making a payment, you agree to Stripe's terms of service. We do not receive, store, or process your payment card details.

6.4 Refund Policy. The Service Fee is non-refundable once a group has been formed and a Group Call has been scheduled, except in the following circumstances:

(a) we are unable to place you in a group within a reasonable period following payment, in which case you will receive a full refund within 14 days of notification; or

(b) the Group Call is cancelled due to circumstances within our reasonable control, in which case we will offer you either a full refund or placement in a subsequent group at our discretion.

6.5 Nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015 or any other applicable consumer protection legislation.

6.6 We reserve the right to amend the Service Fee for future group placements. Any change in pricing will be communicated to existing users before it takes effect.


7. User Conduct

7.1 By using the Service, you agree to comply with our Community Guidelines, which form part of these Terms.

7.2 Without limiting clause 7.1, you agree that you will not:

(a) provide false, misleading, or inaccurate information at any stage of the registration or matching process;

(b) use the Service for any unlawful purpose or in any manner that violates applicable laws or regulations;

(c) harass, intimidate, threaten, or harm any other user of the Service;

(d) record any Group Call without the express consent of all participants;

(e) disclose the personal information of other group members to third parties without their consent;

(f) use the Service to solicit, promote, or advertise any product, service, or opportunity to other users without our prior written consent;

(g) attempt to circumvent, disable, or interfere with the security or integrity of the Service; or

(h) use automated means to access the Service or collect data from it.

7.3 We reserve the right, in our sole discretion, to suspend or permanently terminate your account if we determine that you have breached these Terms or our Community Guidelines. In the event of termination for breach, no refund of the Service Fee will be made.


8. Intellectual Property

8.1 All intellectual property rights in the Service, including but not limited to the Elsewhere name and brand, website design, content, and matching methodology, are owned by or licensed to us. Nothing in these Terms grants you any rights in respect of those intellectual property rights.

8.2 Your questionnaire responses and any content you submit through the Service remain your property. You grant us a non-exclusive, royalty-free licence to use such content solely for the purposes of operating and improving the Service.


9. Limitation of Liability

9.1 To the fullest extent permitted by applicable law, we exclude all liability for:

(a) any loss or damage arising from the conduct of other users of the Service, including during or following a Group Call;

(b) any failure of third-party video conferencing platforms or other third-party services;

(c) any loss of data, revenue, or profits arising from your use of the Service; or

(d) any indirect, consequential, or special loss arising out of or in connection with these Terms or the Service.

9.2 Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

9.3 Subject to clauses 9.2, our total aggregate liability to you in connection with the Service shall not exceed the amount of the Service Fee paid by you.


10. Disclaimers

10.1 The Service is provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, regarding the availability, reliability, accuracy, or fitness for purpose of the Service.

10.2 We do not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components.

10.3 We do not endorse, verify, or take responsibility for the accuracy of any information shared by users during Group Calls.


11. Third-Party Services

11.1 The Service integrates with third-party services including Supabase, Stripe, Resend, and Vercel. Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of any third-party service.


12. Termination

12.1 You may delete your account at any time by contacting us at hello@joinelsewhere.co. Deletion of your account will result in the removal of your personal data in accordance with our Privacy Policy.

12.2 We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have breached these Terms or for any other legitimate operational reason.

12.3 Clauses 8, 9, 10, and 13 shall survive termination of these Terms.


13. Governing Law and Dispute Resolution

13.1 These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

13.2 The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation.

13.3 Nothing in this clause prevents you from seeking injunctive or other equitable relief in any jurisdiction where necessary to protect your rights.


14. General

14.1 Entire agreement. These Terms, together with the Privacy Policy and Community Guidelines, constitute the entire agreement between you and us in relation to the Service and supersede all prior agreements and understandings.

14.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.3 Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it subsequently.

14.4 Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

14.5 No partnership. Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and us.
